RMH Fabrication – Terms & Conditions of Trade

1. Definitions
“RMH” means RMH Fabrication and its directors, employees, subcontractors, and agents.
“Client” means the party engaging RMH to supply goods or services.
“Works” means any fabrication, installation, supply of materials, or related services provided by RMH.
“Quote” means the written quotation issued by RMH for proposed works.
2. Acceptance of Quote
2.1 All quotes must be accepted in writing before any work will commence.
2.2 Quotes are provided based on the information available at the time. Any change in scope, conditions, or requirements may result in a revised quote.
2.3 If no validity period is stated, quotes remain valid for 14 days.
3. Deposits & Payments
3.1 Where a deposit is specified, no work, design, procurement, CNC cutting, powder coating, or material ordering will commence until the deposit has been paid in full.
3.2 Final invoices are payable by the due date shown. Late payments may incur late fees and interest calculated at a reasonable industry rate.
3.3 RMH reserves the right to suspend work or withhold delivery if payments fall overdue.
3.4 All goods supplied remain the property of RMH until full payment is received. RMH may recover goods or materials not paid for, whether installed or not.
4. Variations
4.1 Any changes to the scope of works, specifications, drawings, materials, or finishes must be provided in writing and followed by a phone call.
4.2 No variation will proceed without written approval from both parties.
4.3 Variations may incur additional costs, delays, or extended lead times.
5. Pricing Adjustments
5.1 Material prices, supplier costs, and powder coating charges may increase at any time. RMH reserves the right to amend pricing prior to material purchase.
5.2 Where increases occur, the Client will be notified before proceeding.
6. Lead Times & Scheduling
6.1 Upon acceptance of the quote, an estimated schedule will be established. This schedule may change based on workload, weather, supplier delays, and other factors beyond RMH’s control.
6.2 Workshop lead times to powder coating are a minimum of 2 weeks and may change without notice.
6.3 Powder coating turnaround is typically 10 working days from the time materials reach the powder coater.
6.4 Rush jobs or accelerated timeframes are subject to approval by RMH and the powder coater and may attract additional charges.
7. Powder Coating and External Suppliers
7.1 Independent third-party businesses provide powder coating services and are subject to their individual Terms & Conditions.
7.2 RMH is not responsible for delays, colour variances, texture differences, surface imperfections, or warranty decisions made by powder coating suppliers.
7.3 Knotwood colours must be approved in writing, with a 50% material deposit paid before any Knotwood product is ordered. All Knotwood items are supplied subject to Knotwood’s own Terms & Conditions.
8. Site Conditions, Access & Safety
8.1 The Client must ensure RMH has clear, safe, and uninterrupted access to the site for installation works.
8.2 RMH is not responsible for delays caused by restricted access, site congestion, unsafe conditions, or other contractors.
8.3 Additional charges may apply where:
- Access equipment is required (e.g., scaffolding, scissor lifts)
- The area must be cleared or prepared
- RMH must make return visits due to incomplete site readiness
8.4 The Client is responsible for obtaining all required approvals, permits, engineering certifications, and council permissions unless otherwise agreed in writing.
9. Tolerances & Fabrication Standards
9.1 All works are performed within acceptable industry tolerances for fabrication, alignment, and finishing.
9.2 Minor variations in colour, texture, grain patterns (including Knotwood), powder coating finish, and material appearance may occur and do not constitute defects.
10. Defects & Claims
10.1 The Client must inspect all completed works upon installation or delivery.
10.2 Any defects must be reported to RMH within 48 hours of completion.
10.3 If no notification is received within this timeframe, the works will be deemed accepted, and invoices must be paid in full.
10.4 RMH will address legitimate defects, but is not responsible for issues arising from misuse, wear and tear, acts of nature, or conditions outside our control.
11. Unforeseen Conditions
11.1 RMH is not liable for concealed or unknown site conditions, including but not limited to structural defects, uneven surfaces, termite damage, hidden cables, pipes, or existing faults.
11.2 Any additional work required due to unforeseen conditions will be charged as a variation.
12. Warranty
12.1 RMH workmanship is warranted for 12 months, unless otherwise stated.
12.2 Warranties do not cover:
- Powder coating (covered by the powder coater’s warranty)
- Knotwood products (covered under Knotwood’s warranty)
- Damage caused by misuse, neglect, corrosion, weather exposure, or external forces
12.3 Warranty is void if the Client or third parties make modifications without RMH’s approval.
13. Delays
13.1 RMH is not responsible for delays caused by:
- Weather
- Supplier shortages
- Powder coating delays
- Access issues
- Other contractors
- Global supply chain disruptions
13.2 Delays do not constitute grounds for cancellation unless agreed otherwise in writing.
14. Cancellation
14.1 If the Client cancels the works after acceptance, they are liable for all costs incurred up to the point of cancellation, including labour, administration, and materials already ordered or fabricated.
14.2 Deposits are generally non-refundable once materials have been purchased.
15. Limitation of Liability
15.1 RMH’s liability is limited to the repair or replacement of defective workmanship only.
15.2 RMH is not liable for consequential loss, including but not limited to:
- Loss of income
- Business interruption
- Property damage not caused by negligence
- Delays from third parties
15.3 The maximum liability of RMH under any circumstance shall not exceed the total value of the invoice for the works in dispute.
16. Governing Law
16.1 These Terms & Conditions are governed by the laws of the jurisdiction in which the work is performed.
